Terms of Service

These Terms of Service ("Terms") govern your use of Sublyra ("Sublyra", "the App", "we"), a Shopify application that provides subscription management, dunning, retention, and analytics tools. By installing or using the App, the merchant ("Merchant", "you") agrees to these Terms. If you do not agree, do not install the App.
1. The service
Sublyra lets Shopify merchants sell products on subscription. The App provides, depending on your plan:
- Selling plans and a storefront subscription widget, with a customer portal where subscribers can pause, skip, swap, or cancel.
- Dunning: automated retries of failed billing attempts and card-update reminders by email (and SMS where configured).
- Retention tools such as cancellation flows with save offers, win-back campaigns, bundles, loyalty and referral features, and analytics (MRR, churn, cohorts).
- Integrations you connect yourself (e.g. Klaviyo, Mailchimp, Twilio) and, on higher plans, API access.
The App operates on top of Shopify's Subscription APIs. Subscriptions are fulfilled and paid through your Shopify store; Sublyra never takes possession of your customers' payments.
2. Plans, billing, and usage fees
Sublyra is offered on the following plans. Prices are in USD.
- Launch — free, 1.5% + 19¢ per subscription transaction, up to 100 subscribers.
- Starter — $29/month, 1.0% per subscription transaction, up to 500 subscribers. Adds dunning, cancellation flows, win-back campaigns, bundles, and an onboarding call.
- Growth — $79/month, 0.75% per subscription transaction, up to 2,000 subscribers. Adds loyalty, referrals, cohort analytics, and API access.
- Plus — $199/month, 0.5% per subscription transaction, unlimited subscribers. Adds an SLA and implementation support.
Annual billing is available at ten times the monthly price (two months free). Optional add-ons are priced between $9.99 and $19.99 per month. Paid plans include a 30-day free trial; you are not charged if you uninstall or downgrade before the trial ends.
All charges — subscription fees, usage (transaction) fees, and add-ons — are billed through Shopify's Billing API and appear on your Shopify invoice. Usage fees are calculated on subscription order totals processed through the App. By approving a charge in Shopify you authorize these fees. Plan changes take effect when you approve the new charge; uninstalling the App cancels all future charges.
3. Merchant responsibilities
You are responsible for:
- Your store, your products, and your compliance with Shopify's Terms of Service, Acceptable Use Policy, and subscription-selling requirements (including the payment-gateway eligibility Shopify requires for selling subscriptions).
- Clearly disclosing subscription terms to your customers — price, billing interval, cancellation policy — as required by the consumer-protection laws that apply to you (including auto-renewal disclosure and cancellation rules).
- Honoring cancellations, pauses, refunds, and save offers you configure in the App.
- Keeping the credentials you store in the App (e.g. Klaviyo, Mailchimp, Twilio API keys) valid and authorized, and complying with email/SMS marketing laws (consent, unsubscribe, sender identification) when you use those integrations.
- Reviewing dunning and win-back message content before enabling it; you are the sender of record toward your customers.
4. Subscription and customer data
To operate the App we process shop data and, on your behalf, data about customers who hold subscriptions — names, emails, subscription contract details, order references, and billing-attempt outcomes. We do not collect payment card numbers; payment methods are tokenized and held by Shopify.
As between us, you own your data. You act as the data controller and we
act as the data processor for store customer data. Our
Privacy Policy and
Data Processing Addendum describe what we
process, the subprocessors involved, retention, deletion via Shopify's
mandatory compliance webhooks (customers/data_request,
customers/redact, shop/redact), and our
security measures. On uninstall, your shop's data is deleted within 30
days of Shopify's shop/redact request, except anonymized
financial aggregates we must keep for accounting.
5. Acceptable use
You agree not to:
- Use the App for products or business models that violate Shopify's policies or applicable law.
- Send unsolicited or deceptive marketing through the App's email/SMS features or connected integrations.
- Attempt to reverse-engineer, overload, probe, or disrupt the App or its infrastructure, or access another merchant's data.
- Abuse the API (where available) beyond reasonable rate limits, or resell access to the App without our written consent.
- Use the App to process data you have no lawful right to process.
We may suspend the App for a store that violates this section, after notice where practicable.
6. Service availability and changes
We work to keep the App reliable, but it is provided "as is" and we do not guarantee uninterrupted availability. Billing retries depend on Shopify and the payment gateway; we cannot guarantee that any failed payment will be recovered. Plus-plan merchants receive a service-level commitment under a separate SLA. We may improve or modify features over time; if a change materially reduces the App, we will give reasonable notice and you may cancel before it takes effect.
7. Termination
- You can stop using the App at any time by uninstalling it from your Shopify admin. Uninstalling cancels future charges; fees already incurred are not refunded except where required by law.
- Your active subscription contracts remain in Shopify after uninstall, but the App's dunning, portal, and retention features stop working — we recommend migrating or communicating with subscribers before uninstalling.
- We may terminate or suspend access for breach of these Terms, non-payment, or if Shopify removes your store's eligibility. On termination, data deletion follows Section 4.
8. Liability
To the maximum extent permitted by law, the App is provided without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose. We are not liable for indirect, incidental, or consequential damages — including lost revenue, lost subscribers, or chargebacks — arising from use of the App. Our total aggregate liability for any claim relating to the App is limited to the fees you paid to Sublyra in the twelve months before the claim, or USD $100 if you paid nothing. Nothing in these Terms limits liability that cannot be limited by law.
9. General
- These Terms are governed by the laws of [Jurisdiction — set when published], and disputes will be heard in its courts, without regard to conflict-of-law rules.
- We may update these Terms with notice by email or in the App; continued use after the effective date constitutes acceptance.
- If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver.
